Terms of Service
1. Identification
The Béluga Platform (the "Platform") is operated by Technologies Shelter-Bay inc. (the "Operator"), a corporation constituted under the laws of Québec, with its head office at 900-585 boul. Charest E., Québec (QC) G1K 3J2, Canada.
2. Acceptance of the terms
By creating an account or using the Platform, you agree to be bound by these terms of service. If you do not accept these terms, you must not use the Platform.
If you use the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
3. Description of the services
The Béluga Platform is a collaborative suite comprising: Béluga Mail, Béluga Files, Béluga Docs (collaborative editing), Béluga Meetings (video conferencing with recording and transcription), Béluga Conversations (instant messaging), Béluga Calendar and Béluga Contacts.
These terms cover access to the services through the web application, the desktop application, external email clients (via app passwords), Matrix-compatible mobile applications (including Element X) for Béluga Conversations, and connectors for artificial intelligence assistants (see section 10).
4. Registration and account
4.1 Eligibility
The Platform is restricted to persons aged 14 or older. Persons under 14 may not create an account, in accordance with the consent rules of Québec's Act respecting the protection of personal information in the private sector.
4.2 Account responsibility
You are responsible for keeping your login credentials and app passwords confidential, and for all activity under your account. You must notify us immediately of any unauthorized use at rprp@beluga.quebec. We recommend enabling two-factor authentication, available free of charge to all users.
4.3 Accuracy of information
You agree to provide accurate, up-to-date information when registering and to keep it current.
5. Acceptable use
The Platform is intended for legitimate personal and professional communication, collaboration and file management. It is prohibited to use it for:
- Any activity that is illegal under the federal or provincial laws of Canada
- Sending unsolicited bulk email (spam)
- Distributing malware, viruses or any harmful code
- Harassing, intimidating or threatening other users
- Disseminating hateful or discriminatory content, or content inciting violence
- Impersonation
- Distributing material that infringes the intellectual property rights of others
- Distributing child sexual abuse material
- Any attempt to gain unauthorized access to the systems, accounts or data of other users
- Recording a meeting or conversation while circumventing the notices provided by the Platform
- Cryptocurrency mining or any activity that consumes resources abusively
6. Content ownership
Your content. You retain full ownership of the content you upload, create or transmit through the Platform. By using our services, you grant us a limited, non-exclusive licence to host, store and transmit your content for the sole purpose of providing the services to you.
Our content. The Platform, its interface, its source code, its trademarks (including the Béluga mark) and its documentation are the exclusive property of Technologies Shelter-Bay inc. and are protected by intellectual property laws.
7. Subscriptions and billing
7.1 Subscription plans
The Platform offers free and paid plans for individuals and for organizations. The features and limits of each plan are described on our pricing page. We reserve the right to change prices with 30 days' notice by email.
7.2 Free trial (organizations)
Organizations receive a 30-day free trial, no credit card required. If the trial expires without a subscription, the account is reduced to the limits of the free plan: no data is deleted, but paid features are disabled until a subscription is purchased.
7.3 Payment and taxes
Prices are shown in Canadian dollars (CAD). GST (5%) and QST (9.975%) apply in accordance with the tax laws of Québec and Canada. Payments are processed by our provider Stripe; your card details never pass through our servers.
7.4 Renewal, failed payments and cancellation
Subscriptions are billed monthly and renew automatically. If a payment fails, we notify you by email and the subscription becomes past due; access to paid features may be suspended after a reasonable delay. You may cancel your subscription at any time: the service remains active until the end of the paid period. No refunds are issued for the current period.
8. Quotas and limits
Each subscription plan includes storage limits (files, documents and email combined). If you exceed your quota, you will not be able to upload new files until you free up space or upgrade to a higher plan. Your existing data will never be deleted because of a quota overage.
9. Meeting recording and transcription
A meeting host may enable audio and video recording. A notice is shown to every participant before joining a meeting, and a visible indicator signals any recording in progress. By remaining in a recorded meeting, participants consent to the capture of their audio, video and name.
The host may also request automated transcription of a recording, which is performed by a third-party artificial intelligence service (see our Privacy Policy). Recordings are kept for 90 days, then deleted automatically. It is the host's responsibility to ensure that recording a meeting complies with the laws applicable to them.
10. AI assistant connectors
The Platform lets you connect external artificial intelligence assistants (for example via the MCP protocol) to your Béluga data. Such a connection is only established after your explicit consent, and you choose the access scopes granted (read or write, module by module). You may revoke a connection at any time.
- Data accessed by a connected assistant is transmitted to the AI provider you have chosen, under that provider's terms and privacy policy. The Operator is not responsible for the processing performed by that third party.
- You remain responsible for actions performed by a connected assistant under your account (sending email, modifying documents, and so on).
- Organization administrators may disable AI connector access to all of their organization's data.
11. Content sharing
The Platform lets you share files and documents with other users or by link, including public links accessible to anyone who has the address. You are responsible for the content you choose to share and for the sharing scope you select. We may remove publicly shared content that violates section 5.
12. Service availability
We commit to maintaining Platform availability of at least 99% on a monthly basis, excluding scheduled maintenance windows. We periodically perform scheduled maintenance; whenever possible, we will give you at least 24 hours' notice by email or through the Platform.
The Operator shall not be held liable for a service interruption caused by force majeure, including without limitation: natural disaster, power grid failure, large-scale cyberattack or government decision.
13. Limitation of liability
To the extent permitted by law, the Operator's total liability to you for any claim related to the Platform will not exceed the total amount you paid in the 12 months preceding the claim. In no event will the Operator be liable for indirect, incidental, special or consequential damages, including loss of profits, data or business opportunities.
14. Suspension and termination
By the user. You may delete your account at any time from your profile settings. Your data is then deleted in accordance with our Privacy Policy: a 90-day grace period allows recovery in case of accidental deletion, after which deletion is permanent.
By the Operator. We reserve the right to suspend or terminate your access to the Platform in the event of a violation of these terms, illegal or harmful activity, or non-payment of the subscription after a reasonable delay. Except in emergencies, we will notify you by email before any suspension and give you a reasonable delay to remedy the situation.
15. Organizations
Administrators of a Béluga organization can manage member accounts, assign professional email addresses, and create groups and distribution lists. Data created in the context of an organization belongs to the organization.
Administrators also have governance tools: audit logs, data loss prevention (DLP) rules that can scan the organization's outgoing email and file shares, legal holds preventing the deletion of a member's data during legal proceedings, mandatory two-factor authentication, IP address restrictions, and organization data export. By joining an organization, you acknowledge that its administrators may exercise these capabilities over organizational data.
When a member leaves, the administrator may revoke their access to organizational data. The member's personal data (personal account, personal files) is not affected.
16. Changes to the terms
We may modify these terms. Any change will be published on this page. In the event of a substantial change, we will inform you by email at least 30 days before the new terms take effect. Your continued use of the Platform after that date constitutes acceptance of the modified terms.
17. Governing law and jurisdiction
These terms are governed by the laws of Québec and the federal laws of Canada applicable therein. Any dispute will be subject to the exclusive jurisdiction of the courts of the judicial district of Québec.
